Terms of Service
IMPORTANT: Veridose is a clinical decision support tool. All dispensing decisions remain the sole responsibility of the licensed pharmacist on duty. Veridose AI does not replace clinical judgment.
1. Acceptance of Terms
By accessing or using the Veridose AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a binding legal agreement between you (the pharmacy entity, its authorized administrator, and staff) and Veridose AI, Inc. ("Veridose," "Company," "we," or "us").
If you are accepting on behalf of a pharmacy or other organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Veridose provides an AI-powered clinical decision support platform that assists licensed pharmacy professionals with:
- Medication interaction screening and safety checks
- Voice-to-text transcription for prescription intake
- Staff and team management for pharmacy locations
- Patient medication history review
- Pharmacy workflow and case management tools
3. Medical Disclaimer
Veridose is a decision support tool, not a medical device or a substitute for the professional judgment of a licensed pharmacist. The Service:
- Does not constitute medical advice, diagnosis, or treatment
- May not identify all drug interactions, contraindications, or risks
- Must be used only as a supplement to, not a replacement for, the clinical judgment of a licensed healthcare professional
All final dispensing, prescribing, and patient care decisions are the sole responsibility of the licensed professional on duty. Veridose expressly disclaims liability for any patient harm arising from reliance on the Service without appropriate clinical verification.
4. Eligibility and Account Registration
The Service is available only to licensed pharmacy entities operating in compliance with applicable federal and state laws. You must be at least 18 years old and hold a valid pharmacy operating license to register an account.
You agree to provide accurate, complete registration information and to keep it current. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials and staff PINs.
5. Authorized Use
You may use the Service only for lawful purposes in connection with your licensed pharmacy operations. You agree not to:
- Share your account credentials with unauthorized parties
- Use the Service to process data for any pharmacy other than your registered location(s)
- Attempt to reverse-engineer, decompile, or extract the underlying AI models
- Transmit malicious code, spam, or unauthorized data to the Service
- Use the Service in any manner that violates HIPAA or other applicable healthcare regulations
- Resell or sublicense the Service without express written permission
6. Subscription and Payment
Access to Veridose is provided under a subscription plan agreed upon during onboarding. Pricing, billing cycles, and payment terms are described in your Order Form or Subscription Agreement. Failure to pay fees when due may result in suspension or termination of access.
All fees are non-refundable except as expressly stated in your Subscription Agreement or as required by applicable law.
7. Data and HIPAA Compliance
You are a Covered Entity under HIPAA if you operate a pharmacy dispensing prescription medications. We operate as your Business Associate. You agree to execute a Business Associate Agreement (BAA) with Veridose prior to processing any Protected Health Information (PHI) through the Service. Contact hello@veridose.io to request a BAA.
You are responsible for ensuring your use of the Service complies with all applicable laws, including HIPAA, state pharmacy regulations, and DEA requirements.
8. Intellectual Property
Veridose and its licensors own all right, title, and interest in the Service, including its AI models, algorithms, software, designs, and brand assets. Nothing in these Terms grants you ownership of any Veridose intellectual property.
You retain ownership of all data you input into the Service. By using the Service, you grant Veridose a limited license to process your data solely to provide the Service and to improve our AI models using de-identified, aggregated data.
9. Confidentiality
Each party agrees to keep confidential any non-public information of the other party obtained in connection with the Service, using the same degree of care it uses for its own confidential information, but no less than reasonable care.
10. Warranties and Disclaimers
Veridose provides the Service "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or 100% accurate. We disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Drug interaction databases and clinical reference data used by the Service are sourced from reputable third parties but may not be exhaustive or current. Always consult authoritative clinical references when making critical dispensing decisions.
11. Limitation of Liability
To the maximum extent permitted by law, Veridose's total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid for the Service in the three (3) months preceding the claim.
Veridose shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or patient harm, even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Veridose and its officers, directors, and employees from any claims, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
13. Termination
Either party may terminate the subscription on the terms specified in the Subscription Agreement. Veridose may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or engage in conduct that poses a risk to the Service or other users.
Upon termination, your right to access the Service ends. We will retain your data as required by HIPAA and applicable law; you may request an export of your data within 30 days of termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved by binding arbitration administered by JAMS under its Commercial Arbitration Rules, with proceedings conducted in English in San Francisco, California, unless otherwise agreed.
Class action waiver: You waive the right to participate in class action lawsuits or class-wide arbitration against Veridose.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email to account administrators at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
